As of the twenty-first of December Midway announced that Kenneth D. Cron, who has been Midway’s Chairman of the board for the past three years, had resigned his position which he has occupied since he joined the Board of Directors at Midway in 2004. Mr. Cron also, in addition to his duties as Chairman of the Board, chaired the Special Committee of Independent Directors and also sat on the Compensation Committee and the Corporate Governance Committee at the company. Mr. Cron stated that his decision to resign from the company was due to his “other significant business and family commitments”. He also went onto add that “ It has been a privilege to serve as chairman of Midway for several years and I have enjoyed working with my colleagues on the board and with the management team. I continue to believe in Midway’s future and, under the guidance and direction of the board, I feel confident that Midway will build that future successfully”.
In lieu of Mr. Cron’s resignation the Board of Directors have decided to make Shari E. Redstone as Mr. Cron’s replacement as Chairman of the Board. In addition to her new position as Chairman of the Board at Midway Ms. Redstone continues to hold a seat on the Compensation Committee, chairs the Nomination and Corporate Governance Committtee, and also holds the position of vice chair of Viacom and the vice chair position at the Central Broadcasting Services Corporation.
Concerning Mr. Cron’s depature Ms. Redstone had this to say: "On behalf of Midway and our board of directors, I wish to extend my heartfelt thanks and appreciation to Ken for his outstanding contributions and years of service as a director and chairman. All of us greatly value our continuing relationship with Ken and look forward to working with him again in the future." She also added that “"In 2008, we plan to release an impressive slate of games and I will work closely with management and my fellow board members to continue pursuing exciting growth opportunities for Midway”. The company’s largest shareholder, Summer Redstone, offered the comment that “"I fully support the election of Shari as Chair and I am totally confident of Midway’s success. I believe that this will become apparent as future events evolve."
